Within this document "Vetcentric", “We” or “Us” or "Our" refers to an Australian incorporated company VETCENTRIC PTY LTD.
No portion of these agreements or clause can be severed.
- Our liability in any case is limited to the fee paid to us. If we fail to provide your service, or any part of it, or you are somehow unsatisfied, we are not liable for any additional expenses or losses you, or a third party may incur as a result. To this extent, you will hold us harmless and indemnify us against any claims bought forward against us.
- We provide a service 'as is'. We only provide a service to refer you to our partner providers, we are not responsible for the their conduct.
- We make no promises about the physical location of your server. We may move your data for operational reasons at any time.
- You may terminate your package by providing us with at least 30 days notice in writing from an authorised contact on your account.
- We may terminate your service at any time, and without giving a reason. You will not be billed for the month in which your service is terminated.
- If we make changes to the terms and conditions, and you are not happy with them, then you may terminate your package by providing us notice in writing.
Normal statutory rights apply. The agreement is under Australian law in the state of Victoria.
You are obliged to provide us with a contact address, that is not a post office box, and an email contact address. You must keep the email address in good working order. If we attempt to contact you by email and we fail because of problems with your email account, we are not at fault. We call this email address the 'primary contact address' or 'primary contact email'.
Package Purchase, Duration and Renewal
We may refuse to sell you a package without giving a reason.
When your package expires, we are under no obligation to provide you with another.
Monthly fees are invoiced in arrears, on the 1st of each month, due within 7 days, for the previous months services. Your first invoice will be prorated based on the date on which you sign up for the month
If you have supplied us with credit card details, you will be automatically billed on the due date.
If you fail to make complete payment by the due date, your credit card is rejected or has expired, your service will be temporarily suspended until payment has been received in full.
Payments are atomic payments, you may not make a part payment. If you make a part payment, we may refuse it, and we will not provide service until the package has been paid for in full.
Limitation of Liability
By taking up a service with VETCENTRIC, you agree to waiver all rights to any claims relating to your website where permitted by local laws.
You agree that we aren't liable for any direct, indirect, or consequential loses as a result of our service, or any partner service offered by us.
All claims relating to this agreement and/or services provided by VETCENTRIC will be governed by the laws and courts jurisdiction of Victoria, Australia. All servers, data and services are provided and stored in Melbourne, Victoria. All data jurisdiction is considered that of Victoria Australia. VETCENTRIC will not consider valid any writ, order and/or warrant issued by a court outside of Victoria Australia, unless the local laws of Victoria Australia determine that it is binding.
Changes to Terms and Conditions
From time to time we may need to change these terms and conditions. We will advise you of changes using your registered contact email. If the new terms and conditions are unacceptable you may terminate your service. If you do not advise us in a timely manner that the new terms are acceptable, we will assume that you agree to them.
Changes to Service Offerings
From time to time we may need to change which services we offer, which providers we partner with, and what services are available to each level of membership. If the updated provider and service offerings are unacceptable you may terminate your service. If you do not advise us in a timely manner that the new terms are acceptable, we will assume that you agree to them.
Data Access and Backups
We are permitted to make and keep backups of your data.
While every effort is made to ensure backups are conducted in a timely manner and checked for integrity, VETCENTRIC cannot guarantee that it will be able to retrieve a current or valid backup.
If law enforcement or government agencies obtain rights to access to your data without your knowledge, we are not required to inform you, and we are not liable for anything they do with the information they obtain, or anything that happens because they obtained it, wanted to obtain it, or because we didn't tell you about it. In any event, our liability is limited to the fee originally paid to us.
Unauthorized third party access to information
If any third party, or as a result of force majure, an unauthorized person steals, accesses or destroys your data, no matter who, we are not liable for the results, damages, lost business or consequential effects.
However, we will take all reasonable steps to avoid this situation. Unless otherwise provided by pre-existing rights, or in conflict with existing laws, both parties agree the only recompense you are entitled to is partial refund of fees paid. If we believe the loss was occurred through the use of legitimate access passwords (e.g. you failed to protect passwords), we are not at fault. It is your responsibility to set secure passwords and protect them adequately.
